Terms of Service

1. Service Description
Bridgepoint Integration, LLC ("Bridgepoint", "we", "us", or "our") operates the Bridgepoint Auto-Filer service ("Service"), which routes SafeSend tax documents to designated cloud folders on behalf of accounting firms and tax preparers.
The Service is designed exclusively for accounting firms, tax preparers, and similar professional service organizations ("Customer" or "you").
2. Customer Obligations
- Google Drive authority — By connecting a Google account, you represent that you have authority to grant the Service access to the designated Google Drive folder for your firm.
- Client-folder mappings — You are responsible for providing accurate client-to-folder mappings. Bridgepoint routes documents to the folder matched to the client name returned by SafeSend. Incorrect mappings result in quarantine for your review; Bridgepoint is not liable for misfiled documents caused by inaccurate mapping data.
- SafeSend credentials — You are responsible for maintaining valid SafeSend API credentials. Bridgepoint does not store SafeSend passwords; webhook delivery is managed by SafeSend and cannot be retried beyond the SafeSend retry policy.
3. Acceptable Use
- The Service is for business use only; personal use is not permitted.
- Resale or sublicensing of the Service to third parties is not permitted without written agreement.
- The Service may not be used in violation of applicable law or regulation.
4. Fees
The Service is billed as follows:
- Setup fee: $1,500 (one-time, due upon onboarding)
- Monthly subscription: $99/month, billed monthly
Bridgepoint reserves the right to change pricing with 30 days' written notice. Continued use of the Service after the notice period constitutes acceptance of the revised pricing.
5. Service Level
The Service operates on a best-effort basis. We do not guarantee real-time document delivery. SafeSend delivers documents to the Service via webhook within a signing URL window of approximately 1 hour. Documents not retrieved within this window are placed in the quarantine queue for Customer review.
We target high availability but make no formal uptime commitment at this stage of the product.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Bridgepoint is not liable for:
- Missed or delayed filings resulting from Google Drive API outages or rate limits.
- Missed filings caused by expired Google OAuth tokens (the Service will alert you and place affected documents in quarantine).
- Documents that cannot be matched to a client folder due to ambiguous or missing client-name data.
- Loss of data that occurs outside Bridgepoint's control (e.g., documents deleted from Google Drive by the Customer).
In no event shall Bridgepoint's total liability to Customer exceed the fees paid by Customer in the three months preceding the claim.
7. Data Ownership
You own your data. Bridgepoint acts as a data processor on your behalf, not a data controller. We do not use your data for any purpose other than delivering the Service. See our Privacy Policy for full details.
8. Termination
- Either party may terminate the Service with 30 days' written notice.
- Upon termination, your account data (client mappings, filing history metadata) is retained for 90 days, after which it is permanently deleted.
- You may request an export of your data at any time during the 90-day retention window by contacting support@bridgepointintegration.com.
9. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Nevada.
10. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above and notify you by email. Continued use of the Service after the effective date constitutes acceptance.
